Article I

Position of the Agency

The Agency is a trading company doing business in the field of advertising and marketing. The Agency handles the rights to place the client's Advertisement within the scope of nationwide media, such as television, radio, press media, and large-scale outdoor and indoor advertising. The Agency is entitled to provide the Advertisement for its business partners in full on the basis of the Client's requirement. The Agency also handles the advertising and marketing rights connected with sport, namely football, hockey, floorball, handball, basketball, volleyball, and other sport. The Agency is entitled to provide the Advertisement for its business partners within the scope of the above-mentioned sports.

Article II

Explanatory provisions

The term “Advertising” or "Advertisement" means presentation of the logo, trade name, services, products or other direct or indirect products of a certain business or any other form of the persuasive process by which customers of the services, products or other direct or indirect products of the certain business will be sought. Advertising is further intended to mean, as appropriate, the definition of the same pursuant to Section 1 of Act No. 40/1995 Coll., on the regulation of advertising, as amended.

Article III

The Code of Advertising Practice

The Client undertakes to comply with the Code of Advertising Practice issued by the Czech Advertising Standards Council (RPR - Rada pro reklamu). The Client acknowledges that Advertising may not contain statements or visual presentations that would grossly violate the standards of decency and morals generally accepted by those who are likely to be exposed to the Advertising. Advertising must be carried out based on full consideration of its impact on all audience types. In particular, Advertising may not contain elements degrading human dignity.

Article IV

Pursuing the Client's interests

Based on a contract, the Agency undertakes according to its best abilities and knowledge and while observing all the provisions of the contract, to carry out any Advertising for the Client in a way that will mean for the Client the greatest visibility within the scope of the performed Advertising.

Article V

Details for Advertising; Advertising documentation

Unless agreed otherwise by the contracting parties, the Client will supply for the production of the Advertisement the necessary graphic details and designs within seven calendar days after signing a contract or sending an order. The Agency undertakes to document any Advertising carried out for the Client and to hand over such documentation no later than 45 days after the accomplishment of the particular project.

Article VI

Agreed fee

The Client undertakes, on the basis of the contract and/or order to pay the Agency the agreed fee for the delivered advertising performance.

Article VII

Invoicing and payment method

The agreed fee will be paid on the basis of invoices - tax documents properly issued by the Agency in the agreed amount and delivered to the address of the Client in accordance with the particular maturity of the invoice. A contractual penalty of 0.3% per day is agreed for the case of default with the due payments.

Article VIII

Withdrawal from the contract and/or order

The contract comes into effect on the date of its signing by the two contracting parties and the order comes into effect upon its delivery to the Agency. The contract and/or the order will terminate upon the fulfilment of all the liabilities arising from the same.
